公司(以下簡(jiǎn)稱(chēng)甲方)系中外資經(jīng)營(yíng)企業(yè)，現(xiàn)聘用 先生/女士(以下簡(jiǎn)稱(chēng)乙方)為甲方合同制職工，于 年 月 日簽訂本合同。
第一條 乙方工作部門(mén)

第二條 試用期：乙方被錄用后，須經(jīng)過(guò) 個(gè)月的試用期。在試用期內(nèi)，任何一方均有權(quán)提出終止合同，但需提前一個(gè)月通知對(duì)方。如甲方提出終止合同，須付給乙方半個(gè)月以上的平均實(shí)得工資，作為辭退補(bǔ)償金。試用期滿時(shí)，若雙方無(wú)異議，本合同即正式生效，乙方成為甲方的正式合同制職工。

第四條 教育培訓(xùn)：在乙方被聘用期間，甲方負(fù)責(zé)對(duì)乙方進(jìn)行職業(yè)道德、業(yè)務(wù)技術(shù)、安全生產(chǎn)及各種規(guī)章制度的教育和訓(xùn)練。
第五條 生產(chǎn)、工作條件：甲方須為乙方提供符合國(guó)家規(guī)定的安全衛(wèi)生的工作環(huán)境，否則乙方有權(quán)拒絕工作或終止合同。
第六條 工作時(shí)間：乙方每周工作不超過(guò)6天，每日工作不超過(guò)8小時(shí)(不含進(jìn)餐時(shí)間)。如因工作需要加班加點(diǎn)，甲方應(yīng)為乙方按排同等時(shí)間的倒休或按國(guó)家規(guī)定的標(biāo)準(zhǔn)向乙方支付加班加點(diǎn)費(fèi)。
第七條 勞動(dòng)報(bào)酬：甲方每月按本公司規(guī)定的工資形式和考核辦法確定乙方的勞動(dòng)所得，以現(xiàn)金人民幣向乙方支付工資、獎(jiǎng)金，并按國(guó)家有關(guān)規(guī)定向乙方支付各種補(bǔ)貼及福利費(fèi)用。
第八條 勞動(dòng)保險(xiǎn)待遇：甲方按照國(guó)家勞動(dòng)保險(xiǎn)條例的規(guī)定為乙方支付醫(yī)療費(fèi)用、病假工資、傷殘撫恤費(fèi)、退休養(yǎng)老金及其他勞保福利費(fèi)用。
乙方享受元旦、春節(jié)、"五一"、"十一"等共7天國(guó)家法定有薪假日。乙方家屬在外地的，乙方實(shí)行計(jì)劃生育的，分別按國(guó)家規(guī)定享受探親假待遇和計(jì)劃生育假待遇。乙方符合公司休假條件的，享受年休假待遇。
第九條 勞動(dòng)保護(hù)：甲方根據(jù)生產(chǎn)和工作的需要，按國(guó)家規(guī)定向乙方提供勞動(dòng)保護(hù)用品和保健食品。
甲方按國(guó)家規(guī)定在女職工經(jīng)期、孕期、產(chǎn)褥期、哺乳期對(duì)其提供相應(yīng)的勞動(dòng)保護(hù)。
第十條 勞動(dòng)紀(jì)律：乙方應(yīng)遵守國(guó)家的各項(xiàng)法律規(guī)定、《職工守則》及甲方的各項(xiàng)規(guī)章制度。

第一章 總則
Chapter 1 General Provision
第一條 根據(jù)《中華人民共和國(guó)中外合資企業(yè)法》，和中國(guó)×公司(以下簡(jiǎn)稱(chēng)甲方)與×國(guó)×公司)合資經(jīng)營(yíng)合同，
特制訂本合營(yíng)公司章程。

第四條 合營(yíng)公司的組織形式為有限責(zé)任公司。

甲乙方僅以現(xiàn)行或日后修改的本章程規(guī)定的各自認(rèn)繳的出資額對(duì)合營(yíng)公司承擔(dān)責(zé)任。
The liabilities of each party to the joint venture company just limits to its contributed capital， which stipulated in the
Articles of Association or in the revised afterwards.
在上述前提下，各方按其認(rèn)繳的出資額在注冊(cè)資本中的比例分享利潤(rùn)和分擔(dān)風(fēng)險(xiǎn)及虧損。
The profits， risks and losses of the joint venture company shall be shared by the parties in proportion to their
contributions of the registered capital.
第五條 合營(yíng)公司為中國(guó)法人，受中國(guó)法律管轄和保護(hù)，其一切活動(dòng)必遵守中國(guó)的法律、法令和有關(guān)條例規(guī)定。
Article 5 The joint venture company has the status of a legal person and is subject to the jurisdiction and protection of
Chinese laws concerned. All activities of the joint venture company shall be governed by the laws, decrees and pertinent
rules and regulations of the People's Republic of China.

第六條甲、乙方合資經(jīng)營(yíng)的目的是：本著加強(qiáng)經(jīng)濟(jì)合作和技術(shù)交流的愿望，彩先進(jìn)而適用的技術(shù)和科學(xué)的經(jīng)營(yíng)管理

第十二條 甲、乙方應(yīng)按合同規(guī)定的期限繳清各自的出資額。

Article 13 After the payment of investment by the parties to the joint venture， a Chinese registered accountant invited by
the joint venture company shall verify it and provide a certificate for contributed investment. Thereafter the joint venture
company shall issue an investment certificate to confirm the date and amount of the contribution.
第十四條 合營(yíng)期內(nèi)，合營(yíng)公司不得減少注冊(cè)資本數(shù)額。
ArticIe14 Within the term of the joint venture， the joint venture company shall not reduce its registered capital.
任何一方都不得將其在合營(yíng)公司中認(rèn)繳出資的任何部份抵押給任何第三方。

第十五條 合營(yíng)公司注冊(cè)資本的增加、轉(zhuǎn)讓?zhuān)瑧?yīng)由董事會(huì)一致通過(guò)后，并報(bào)原審批機(jī)權(quán)批準(zhǔn)，向原登記機(jī)構(gòu)辦理變
更登記手續(xù)。
Article 15 Any increase， assignment of the registered capital of the joint venture company shall be approved by the board
of directors and submitted to the original examining and approving authority for approval. The registration procedures for
changes shall be dealt with at the original registration and administration office.
第四章 董事會(huì)
Chapter 4 The Board of Directors
第十六條 合營(yíng)公司設(shè)董事會(huì)。董事會(huì)是合營(yíng)公司的最高權(quán)力機(jī)構(gòu)。
Article 16 The joint venture company shall establish the board of directors which is the highest authority of the joint
venture company.
第十七條 董事會(huì)決定合營(yíng)公司的一切重大事宜，下列事宜，董事會(huì)應(yīng)一致通過(guò)方可作出決定：
Article 17 The board of directors shall decide all major issues concerning the joint venture company for the following issues,
unanimous approval shall be required:
1.合營(yíng)公司章程和修改;
l)amending the Articles of Association of the joint venture company
2.合營(yíng)公司的中止與解散;
2)discussing and deciding the termination and dissolution of the joint venture company;
3.合營(yíng)公司與另一經(jīng)濟(jì)組織的合并、兼并與聯(lián)合;
3)deciding the merger， affiliation and consolidation of the joint venture company with other economic organization;
4.合營(yíng)公司注冊(cè)資本的增加與轉(zhuǎn)讓;
4)deciding the increase and assignment of the registered capital;
5.設(shè)立合營(yíng)公司的分支機(jī)構(gòu);
5)deciding to set up branches;
6.批準(zhǔn)合營(yíng)公司的中長(zhǎng)期發(fā)展規(guī)劃;
6)ratifying the project of development on medium term and long term;
7.決定合營(yíng)年度經(jīng)營(yíng)方針和計(jì)劃;
7)deciding an annual management strategy and plan;
8.批準(zhǔn)年度財(cái)務(wù)預(yù)算，財(cái)務(wù)報(bào)告和會(huì)計(jì)報(bào)表;
8)ratifying fiscal budget， fiscal report and accounting statement;
9.決定合營(yíng)公司年度利潤(rùn)分配方案;
9)deciding the plan on annual profits sharing;
10.總經(jīng)理、副總經(jīng)理的任免;
l0)inviting and dismissing the general manager and the deputy general managers;
11.涉及任何一方各合營(yíng)公司利潤(rùn)沖突的事項(xiàng)。
11)settling the disputes between each party to the joint venture and joint venture company.
對(duì)以下事項(xiàng)，須出席董事會(huì)至少×名董事通過(guò)：

4)inviting and dismissing the senior administrative personnel who shall be recommended by general manager， and
deciding their salary and welfare;
5.按照中國(guó)政府的有關(guān)規(guī)定，制定合營(yíng)公司職工的福利和工資制度;
5)deciding the system of salary and welfare for staff and workers in joint venture company in accordance with the relevant
regulations of China;
6.確定調(diào)整合營(yíng)公司的組織機(jī)構(gòu);

7.決定合營(yíng)公司從稅后利潤(rùn)中提取儲(chǔ)備基金、企業(yè)發(fā)展基金和職工獎(jiǎng)勵(lì)及福利基金的比例;
7)deciding the proportion of allocation for reserve funds， pension funds and bonuses from the taxed profits of joint
venture company;
8.決定合營(yíng)公司的保險(xiǎn)種類(lèi)和投保范圍;
