　　鑒于：

　　whereas：

　　甲方為促進業(yè)務(wù)發(fā)展，防范法律風(fēng)險，決定聘請乙方為其常年法律顧問;

　　party a want to promote its business and keep away law risks, decides to assign party b as its long-term law consultant.

　　乙方系一家在中國境內(nèi)注冊設(shè)立并經(jīng)中國政府特許、可持續(xù)運營的勞動法律服務(wù)機構(gòu)，經(jīng)與甲方商洽，同意接受聘請，擔(dān)任其常年法律顧問;

　　為此，

　　now, therefore

　　甲乙雙方本著相互信任、合作共贏的原則，經(jīng)友好、充分之協(xié)商，就聘請合約的條款及內(nèi)容達成如下協(xié)議：

　　the two parties based on principle of trusting and win-win cooperating, after friendly and thorough negotionation, the parties agreed the following terms and conditions on the consigning.

　　第一條聘約期間

　　article one consignment periods

　　1.1 甲方聘請乙方作為常年法律顧問的期間為壹年，自________至_______;聘期屆滿后，本合約自動終止。

　　party a consign party b as it’s long-term law consultant, the consignment period is one year, from _____________ to ___________, the agreement will terminate after expiration.

　　1.2乙方指定________作為主要聯(lián)系人，負責(zé)跟進和處理法律顧問事宜。如因甲方的工作內(nèi)容需要或_____出差在外地，乙方可另行指派其他專業(yè)人員提供法律服務(wù)。

　　the party b assign lawyer______ as major coordinator, he willbe responsible for following and settling law consulting affairs. if the working assignment of party a requires or lawyer______ are out to other cities on business, party b can assign other professional lawyer to provide legal service.1.3本合約聘期屆滿后，若甲方?jīng)Q定續(xù)聘，且按本合約第六條的規(guī)定向乙方續(xù)付顧問費的，則本合約的聘期及效力自動順延壹年，或可另行簽訂聘約。

　　after expiration of this agreement, if the party a is willing to continue consigning, and paid continuing consulting fees to partyb in accordance with terms and conditions specified in article six of this contract, then the consigning period and effectiveness of this will automatically postpone one year, or enter into other agreement by both parties.

　　第二條服務(wù)內(nèi)容

　　article two service content

　　2.1作為法律顧問，乙方在聘期內(nèi)，應(yīng)甲方的要求和實際需要，及時向甲方提供下列服務(wù)，依法維護甲方的合法權(quán)益：

　　as legal consultant, during the consigning period, according to the requirements and actual needs of party a, party b willprovide the following service to party a in time, protect legal rights of party a.

　　a) 法律咨詢：解答法律疑問，提供法律建議，出具法律意見;

　　legal consult: answer legal questions, give legal suggestions, and give legal opinions.

　　b) 合同審查：起草審閱合同，提出修改意見，規(guī)范合同管理;

　　review contract: draft and review contract, give amending suggestions, standardize contract management.

　　c)參與決策：參與甲方?jīng)Q策，提供法律依據(jù)，防范法律風(fēng)險;

　　participate decision: participate decision of party a, provide legal basis, and keep away legal risks.

　　d)專項服務(wù)：

　　勞動法律、法規(guī)、政策咨詢;代理勞動爭議案件處理。起草法律文件、合同、規(guī)章制度、協(xié)商方案、談判提綱。全程代理、監(jiān)理員工招聘、錄用、退工。企業(yè)轉(zhuǎn)制、改制、減員方案策劃。轉(zhuǎn)制企業(yè)員工整體解盤;季節(jié)性、臨時性員工過度托管。履歷調(diào)查、素質(zhì)評測及機構(gòu)設(shè)置方案制訂。普通員工、管理人員、保密對象上崗培訓(xùn)及專業(yè)講座。

　　special services:

　　providing advices on labor laws , regulations and policies ; serving as an agent to handle cases of labor disputes .drafting legal documents contracts , rules and regulations ,consultantive proposals and negotiative outlines.representing and managing the whole procedure of headhunting , recruitment and dismissal .planning proposals on transforming , reforming and outing down of an enterprise .entire undertaking of transformed employees ; transitional trusteeship of employees seasonally and temporarily .resume investigation, quality measurement , and making out plans for institutions reorganization .providing post trainings and specialized lectures for ordinary employees , managerial staff and some secret vips (very important persons).

　　g)其它約定. any other business agreed by both parties.

　　2.2 下列事務(wù)，甲方委托乙方辦理的，須按規(guī)定向乙方另付律師費，付費標(biāo)準(zhǔn)為5000元每件：

　　party a consign party b to deal with the following affairs, party a will pay additional fees to party b, the price standard will be rmb 5000 yuan every case.

　　a)甲方涉及訴訟或者仲裁委托乙方出庭代理的，包括一審起訴或應(yīng)訴，二審上訴或應(yīng)訴，再審申請或再審應(yīng)訴，國內(nèi)仲裁與國際仲裁，判決或裁決的申請執(zhí)行，提起執(zhí)行異議，申請國家賠償?shù)?

　　b) 甲方涉及勞動糾紛，委托乙方訴訟方式協(xié)調(diào)解決的，可免收服務(wù)費。

　　party a involves in labor disputes, entrust party b to reconcile by means of litigating method, the fee can be waived.

　　第三條服務(wù)方式

　　article three service method3.1 甲方獲得或者乙方提供法律服務(wù)的方式或途徑包括：

　　3.1 the ways and methods party a got legal service from party b:

　　a)電話咨詢;phone consultation;

　　b)面見商談;interview;

　　c)專題會議;special topic meetings;

　　e)法律講座;legal seminar;

　　f)參與談判;participate in negotiation;

　　g)出庭訴訟;appear in court to litigate;

　　h)庭外協(xié)調(diào);out of court settlement;

　　i)代為交涉;represent to deal with;

　　j)其它方式。other methods.

　　第四條保密義務(wù)

　　article four confidentiality obligations

　　4.1任何一方在履行本合約過程中所獲得的與另一方有關(guān)的任何信息、合同、資料、專業(yè)意見或其它商業(yè)秘密，非經(jīng)授權(quán)或同意，不得以任何方式向第三方及雙方各自無關(guān)人員傳遞泄露，否則，按本合約第七條承擔(dān)違約責(zé)任;

　　except authorized or agreed on, neither party shall disclose to any third party or irrespective persons in either party anyinformation about other party, contract, document, professional suggestions or other business secrets gained during the execution of the agreements.

　　4.2 前項所列保密義務(wù)不因本合約的終止、解除、變更或廢止而免除。

　　the above mentioned confidentiality obligation will not be waived after the termination, expiration, amend or revoke of the agreement.

　　第五條責(zé)任擔(dān)保

　　article five warranties

　　5.1甲方保證，其向乙方提供的文件、資料及事實真實、完整與全面，力免誤導(dǎo)與失實;否則，甲方應(yīng)自行承擔(dān)相應(yīng)的法律后果及經(jīng)濟損失。

　　5.2乙方保證，其向甲方提供的專業(yè)意見合法、準(zhǔn)確，并保證所提供的專業(yè)服務(wù)符合律師行業(yè)一般公認業(yè)務(wù)準(zhǔn)則與專業(yè)操守;否則，應(yīng)就甲方所受到的損失承擔(dān)賠償責(zé)任。

　　第六條顧問費用

　　article six counseling price

　　6.1 本合約期(壹年)的法律顧問費共人民幣50,000元，甲方于本合約簽訂后3日內(nèi)支付給乙方。乙方的收款賬戶為：

　　開戶行：bank:戶名：account name:帳號：account number:6.2 乙方應(yīng)甲方之要求處理甲方法律事務(wù)的過程中，因出差到上海市外所發(fā)生的必要差旅費用及其它官方費用由甲方承擔(dān)。 if party b need to travel to place out of shanghai.duringdealing with legal fair requested by party a, the necessary transportation fee and other fees will be beard by party a.

　　第七條違約責(zé)任

　　article seven liability

　　7.1 如乙方在本合約期內(nèi)未依約向甲方提供本合約第二條所列的各項服務(wù)，或服務(wù)質(zhì)量未達到行業(yè)一般公認的專業(yè)水準(zhǔn)，甲方有權(quán)提前終止合約，有權(quán)要求乙方將已收之費用就已履行的期間作相應(yīng)扣除后退還甲方;

　　if the party b does not provide the services specified in the article two of this agreement in the consignment period, or the service quality does not reach the well recognized professional level in the layer in the law service, the party a has right to terminate the agreement, and request party b to return party a the paid counseling payment with necessary deduction of the executed part.

　　7.2由于乙方或其指派的顧問在提供服務(wù)過程中的過錯或失誤，導(dǎo)致甲方利益遭受到損失的，由乙方或?qū)σ曳匠斜５谋ｋU機構(gòu)依法承擔(dān)相應(yīng)的賠償責(zé)任。

　　party b shall indemnify for the loss to party b for liability dueto the default or mistake during the assigned counseling lawyerprovides service, the party b or the insurance organization of party b shall have the corresponding indemnify responsibility.

　　7.3甲方應(yīng)按本合約規(guī)定的時間向乙方支付約定的顧問費，及時處理乙方已經(jīng)發(fā)生的應(yīng)由甲方承擔(dān)的差旅費或其它費用，若甲方逾期30天仍未向乙方支付本合約第六條規(guī)定之顧問費的，乙方可暫停提供相關(guān)服務(wù)，并訴請甲方付清約定費用。若非因乙方的原因，甲方提前解除本合同，法律顧問費用仍應(yīng)支付或不予退還。

　　party a shall pay party b the counseling payment according to terms and conditions specified in the agreement. promptly deal with the payable transportation fee and other fees should be beard by party a. if party a delays the payment under article six in this agreement over 30 days, the party b will withhold related service, and request party a to pay off the agreed costs.if party a terminate the agreement without fault of party b, the legal counseling payment is still payable or not to be returned.

　　第八條爭議解決

　　article eight arbitration

　　8.1 本合約在履行過程中若發(fā)生爭議，雙方應(yīng)友好協(xié)商妥善解決，若協(xié)商不成，提交上海仲裁委員會解決。

　　any dispute arises during the execution of the agreement, both parties will settle them by friendly negotiation, if not settled by mutual agreement, shall be finally settled by arbitration in shanghai.

　　8.2 本合約及與本合約有關(guān)的爭議，均適用中華人民共和國法律。

　　the laws of the people’s republic of china shall govern thisagreement and any disputes related with the agreements.

　　第九條合約生效

　　9.1本合約一式二份，經(jīng)雙方代表簽字或蓋章后生效。

　　9.2本合約未盡事宜，雙方另行協(xié)商，簽訂補充協(xié)議。

　　(13)不可抗力：由于人力不可抗力的原由發(fā)生在制造，裝載或運輸?shù)倪^程中導(dǎo)致賣方延期交貨或不能交貨者，賣方可免除責(zé)任,在不可抗力發(fā)生后，賣方須立即電告買方及在14天內(nèi)以空郵方式向買方提供事故發(fā)生的證明文件，在上述情況下，賣方仍須負責(zé)采取措施盡快發(fā)貨。

　　force majeure :

　　the sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to force majeure, which might occur during the process of manufacturing or in the course of loading or transit. the sellers shall advise the buyers immediately of the occurrence mentioned above the within fourteen days there after . the sellers shall send by airmail to the buyers for their acceptancea certificate of the accident. under such circumstances the sellers, however, are still under the obligation to take all necessary measures to hasten the deliveryof the goods.

　　(14)仲裁：凡有關(guān)執(zhí)行合同所發(fā)生的一切爭議應(yīng)通過友好協(xié)商解決，如協(xié)商不能解決，則將分歧提交中國國際貿(mào)易促進委員會按有關(guān)仲裁程序進行仲裁，仲裁將是終局的，雙方均受其約束，仲裁費用由敗訴方承擔(dān)。
