　　7.甲方的義務：

　　2)對乙方的工作進行指導、檢查和評估。

　　3)向乙方提供必要的工作和生活條件。

　　4)為乙方配備科研合作人。

　　5)按時支付乙方的報酬。

　　8.乙方的義務：

　　1)遵守中國的法律、法規(guī)，不干預中國的內部事務。

　　2)遵守甲方的工作制度和中國有關外國專家的管理規(guī)定，接受甲方的工作安排、業(yè)務指導、檢查和評估。未經(jīng)甲方書面同意，不得在甲方以外的其他單位兼職。

　　3)認真開展本合同所約定的研究工作，保證科研工作質量。

　　4)尊重中國的宗教政策。

　　5)遵守中國相關技術和科研保密規(guī)定，不從事與訪問學者身份不符的活動。

　　6)尊重中國人民的道德規(guī)范和風俗習慣。

　　9.乙方在其受聘期科研工作基礎上所產生的科研成果所有權歸甲方，并享受甲方有關科研成果的獎勵。訪問期間取得的論文、專著、專利等科研成果均應標注“受中國科學院‘外籍青年訪問學者獎學金計劃’資助”。詳細約定見科研成果歸屬協(xié)議附件

　　10.乙方在聘期內享受中國官方假期。另外，可根據(jù)乙方本國特有的節(jié)日，享受累計不超過5日的特殊假期。

　　11.乙方請假須向甲方提交書面申請，病假需憑醫(yī)院證明。假期在10日以內薪金照發(fā)。乙方因病不能繼續(xù)本合同規(guī)定的工作時，雙方可通過協(xié)商解除聘用關系。

　　12.合同的變更、解除和終止：

　　1)雙方應信守合同，未經(jīng)雙方一致同意，任何一方不得擅自更改、解除和終止合同。

　　2)經(jīng)當事人雙方協(xié)商同意后，可以變更、解除和終止合同。在未達成一致意見前，仍要嚴格履行合同。

　　3)甲方在下述條件下，有權以書面形式通知乙方解除合同：

　　i.乙方不履行合同或者履行合同義務不符合約定內容，經(jīng)甲方指出并協(xié)商后仍不改正的；

　　ii.根據(jù)醫(yī)生診斷，乙方在病假連續(xù)30天后不能恢復正常工作的；

　　4)乙方在下述情況下，有權以書面形式通知甲方解除合同：

　　i.甲方未按合同約定提供乙方必要的工作和生活條件；

　　ii.甲方未按時支付乙方報酬。

　　13.當事人一方不履行合同或者履行合同義務不符合約定內容，即視為違約。違約方應當向另一方支付________美元的違約金。乙方因不可抗力事件要求解除合同，需出具有關機構證明，經(jīng)甲方同意后，離華的費用自理；乙方若無故解除合同，除離華費用自理外，還應當向甲方支付違約金。甲方因不可抗力事件要求解除合同,經(jīng)乙方同意后，離華費用由甲方負擔；甲方若無故解除合同，除負擔乙方離華費用外，還應當向乙方支付違約金。

　　(12)索賠：在貨到目的口岸45天內如發(fā)現(xiàn)貨物品質，規(guī)格和數(shù)量與合同不附，除屬保險公司或船方責任外，買方有權憑中國商檢出具的檢驗證書或有關文件向賣方索賠換貨或賠款。

　　Claims:

　　(13)不可抗力：由于人力不可抗力的原由發(fā)生在制造，裝載或運輸?shù)倪^程中導致賣方延期交貨或不能交貨者，賣方可免除責任,在不可抗力發(fā)生后，賣方須立即電告買方及在14天內以空郵方式向買方提供事故發(fā)生的證明文件，在上述情況下，賣方仍須負責采取措施盡快發(fā)貨。

　　Force Majeure :

　　The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after . the Sellers shall send by airmail to the Buyers for their acceptancea certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the deliveryof the goods.

　　(14）仲裁：凡有關執(zhí)行合同所發(fā)生的一切爭議應通過友好協(xié)商解決，如協(xié)商不能解決，則將分歧提交中國國際貿易促進委員會按有關仲裁程序進行仲裁，仲裁將是終局的，雙方均受其約束，仲裁費用由敗訴方承擔。

　　Arbitration :

　　All disputes in connection with the execution of this Contract shall be settled friendly through negotiation. in case no settlement can be reached, the case then may be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Procedure promulgated by the said Arbitration Commission . the Arbitration committee shall be final and binding upon both parties. and the Arbitration fee shall be borne by the losing parties.
